Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Client," or "You") and QuantPillar Technologies Inc. ("QuantPillar," "We," "Us," or "Our") governing your access to and use of our enterprise platform, including QuantCore™, QuantVal™, QuantTerminal™, the National Innovation Index (NICI), league tables, Trust Links, and all related software, data, APIs, consultancy, professional opinion services, and services (collectively, the "Platform"). The Platform is intended for sophisticated professional users, such as venture capitalists, angel investors, and private lenders, dealing with private companies. These Terms incorporate by reference our Privacy Policy, Data Processing Agreement (DPA), and Legal Disclosures.

1. Scope of Services

QuantPillar operates an integrated financial intelligence, valuation, and consultancy ecosystem for private companies, providing a comprehensive suite of tools, data, and professional services. The Platform encompasses:

• QuantCore™: Our proprietary SaaS and software platform, including data processing engine, AI models, financial calculators (e.g., runway projections, stress tests, capital efficiency metrics), guidelines (e.g., best practices for valuation approaches, solvency analysis, due diligence checklists, second opinion frameworks), and related computational tools.
• QuantVal™: Automated and expert-assisted valuation methodologies, reporting tools, and professional opinion services, providing opinions based on proprietary formulas and user-provided data, including but not limited to business valuations, intangible asset assessments, multiples and comparables analysis (e.g., revenue multiples, EBITDA comparables derived from market data as our professional opinion), solvency scoring (e.g., runway and stress test evaluations), due diligence support (e.g., financial health reviews, risk assessments), second opinions on third-party valuations, and customized consultancy reports.
• QuantTerminal™: Market intelligence dashboard, data visualization, financial APIs, and professional services for accessing aggregated benchmarks, industry guidelines, and comparables data.
• NICI (National Innovation Index): Proprietary economic scoring framework and ranking system, including professional opinions on innovation metrics, capital efficiency, and market potential.
• League Tables & Benchmarks: Comparative market data, industry performance metrics, rankings (e.g., NICI, Texas), and professional opinions on sector-specific multiples, comparables, and benchmarks.
• Trust Links: Verified valuation links, solvency scores, and related professional opinion services, presented as informational opinions only.
• Additional Consultancy and Professional Services: Expert opinions and advisory on financial planning, valuation strategies, solvency assessments, due diligence processes, second opinions, guidelines for compliance (e.g., 409A/Section 85), calculators for scenario modeling, and customized data analysis, all delivered as non-binding professional opinions based on provided data and our methodologies.

1.2 Eligibility

You represent that you are a professional, company, or client capable of understanding and using the Platform for private company analysis. If you are not sophisticated in financial matters, consult experts before reliance.

2. Intellectual Property Rights (Strictly Enforced)

2.1 Exclusive Ownership: You acknowledge and agree that QuantPillar retains all rights, title, and interest in and to the Platform and its underlying technology, including but not limited to:

• Source Code & Algorithms: All software code, logic, machine learning models, and algorithms powering QuantCore™ and NICI.
• Proprietary Data: The National Innovation Index (NICI) scores, League Table rankings, valuation multiples, comparables data, aggregated datasets, guidelines, and calculator outputs.
• Methodologies: The specific financial models, valuation frameworks, scoring criteria, due diligence processes, and consultancy approaches used within QuantVal™ and other services.
• Trade Secrets: Confidential know-how, business logic, technical architecture, and professional opinion frameworks.
• Branding: The trademarks "QuantPillar," "QuantVal," "QuantCore," "QuantTerminal," "NICI," and "Trust Link," along with all copyrights, patents, database rights, moral rights, and any other intellectual property rights worldwide.

2.2 No Transfer of Rights: Nothing in these Terms grants you any right, title, or interest in the Platform or QuantPillar's IP, other than the limited license explicitly granted in Section 3. You waive any moral rights (including rights of paternity, integrity, disclosure, and withdrawal) in any modifications, derivatives, or user-generated content related to the Platform, to the fullest extent permitted by law.

3. License & Restrictions

3.1 Limited License: Subject to your compliance with these Terms and payment of applicable fees, QuantPillar grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes related to private company analysis.

3.2 Prohibited Acts (Zero Tolerance): You strictly agree NOT to:

• Reverse Engineer: Decompile, disassemble, or attempt to derive the source code, underlying algorithms, or NICI scoring methodology.
• Copy or Clone: Build a competitive product or service using similar features, functions, or graphics of the Platform.
• Data Scraping: Use bots, scrapers, or automated means to extract data, NICI scores, or League Table rankings without a written API license.
• Unattributed Use: Publicly display QuantPillar data (e.g., in pitch decks or press releases) without clear attribution to "QuantPillar Inc."
• Resale: Sublicense, resell, or distribute the Platform or its data to third parties.
• AI/Predictive Use: Input Platform data into machine learning, neural networks, or predictive analytics systems.

Violations trigger immediate suspension or termination, without refund.

4. User Data & Strategic Data Use

4.1 Your Data: You retain ownership of the specific financial data and documents you upload ("User Data"). You grant QuantPillar a license to process this data to provide the Services, in compliance with our DPA. You warrant that User Data is accurate, authorized, and complies with laws (e.g., AML/ATF).

4.2 Aggregated Intelligence: To power QuantCore™ and the National Innovation Index, you agree that QuantPillar may anonymize, aggregate, and analyze User Data. This "Aggregated Data" helps create industry benchmarks (e.g., "SaaS Multiples 2025") and refine our valuation algorithms. Aggregated Data is the exclusive property of QuantPillar and will never identify you or your specific financials. You may opt-out of future aggregation via hello@quantpillar.com; prior data remains anonymized.

5. Disclaimers & Professional Advice

• No Audit: Our services do not constitute an audit in accordance with GAAS. We rely on the accuracy of the data you provide and disclaim errors therefrom.
• Tax & Legal: While our reports (including 409A and Section 85) are designed to be defensible and meet "Bona Fide" standards, we cannot guarantee the outcome of any audit by tax authorities (IRS, CRA). You should consult qualified counsel.
• Investment: NICI scores, League Tables, Trust Links, multiples, comparables, solvency projections, due diligence opinions, and second opinions are analytical tools, not investment recommendations, credit ratings, or endorsements. They are subject to market risks, illiquidity, and assumptions that may prove inaccurate. Sophisticated users must conduct independent due diligence; we disclaim any liability for investment losses.

6. Liability & Indemnity

6.1 Limitation of Liability: To the maximum extent permitted by law, QuantPillar shall not be liable for any indirect, special, consequential, or punitive damages, including investment losses or reliance on opinions. Our total liability is limited to the fees paid by you in the 2 months preceding the claim, excluding gross negligence or willful misconduct.

6.2 Platform/Public Content Cap: For any use of publicly available content on the Platform (including League Tables, NICI scores, Trust Links, or other non-paid features) without a paid engagement, QuantPillar's total aggregate liability shall not exceed USD $100.

6.3 Exclusion of Certain Damages: To the fullest extent permitted by law, QuantPillar shall not be liable for any of the following, even if advised of the possibility:

• Lost profits
• Lost investment returns
• Consequential damages
• Punitive or exemplary damages
• Loss of opportunity
• Indirect or special damages

6.4 Indemnification: You agree to indemnify, defend, and hold harmless QuantPillar, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to: false, misleading, or incomplete data provided by you; unauthorized reliance by third parties on any report or output; redistribution of reports, scores, or valuations without our consent; misuse of any scores, valuations, or Platform content; any regulatory or tax consequences of transactions based on the Platform.

6.5 Indemnification (Mutual): You agree to indemnify QuantPillar against any claims arising from your violation of these Terms or misuse of the Platform. QuantPillar agrees to indemnify you against claims of IP infringement by the Platform.

6.6 No Third-Party Beneficiaries: These Terms are for the benefit of the parties only. There are no third-party beneficiaries; no indirect user, recipient of reports, or other non-party may assert rights under these Terms.

7. Termination

You may terminate via written notice. We may terminate for breach (with 30-day cure period) or immediately for violations. Upon termination, cease use; we delete User Data (except aggregates/retained for legal reasons). Sections 2, 4.2, 5, 6, and 8-10 survive.

8. Governing Law and Disputes

These Terms are governed by the laws of British Columbia, Canada, without regard to conflicts principles. Disputes shall be resolved through binding arbitration under the ADR Institute of Canada rules in Vancouver, BC; no class actions or jury trials. Courts in Vancouver have exclusive jurisdiction for injunctive relief.

9. Force Majeure

Neither party is liable for delays due to uncontrollable events (e.g., cyberattacks, pandemics), except payment obligations.

10. Miscellaneous

Amendments: We may amend these Terms at any time by providing notice via email or the Platform (effective 30 days after notice, or sooner for non-material changes). Your continued use constitutes acceptance. If you disagree, terminate per Section 7.

Severability: Invalid provisions severed. Entire Agreement: Supersedes priors. No representations outside these Terms, Privacy Policy, DPA, and Disclosures are binding.
